Either Regulate Franchising Correctly or Do Away With the Regulation

Recently, a very wise studier of the franchising industry sent me an email and we began to discuss the issues considering modern day franchising. They stated:

I think we should either regulate franchising as well as securities are regulated or do away with regulation of franchising entirely and concentrate on state fraud laws for consumers of business opportunities.

Interesting, as I concur with this actually and after spending over a decade in the franchising industry setting up units in 23 states, I saw the over regulation and the causality of Business Opportunities riding on the coat tails of the success in franchising. If it were entirely up to me, well, I vote to de-regulate, especially if we want to keep up with China.

Also consider that 75% of the people in America are employed by small business, why hinder the franchise model, it has proved its worth. It would lead to more regional small business chains; bring back the essence of free enterprise.

Without regulation in franchising, the Franchisors would not have to spend so much, save trees on printing, keep information from competitors, and they could not hide behind a mound of 260 pages of minutia. Franchisors would not have barriers between the franchise relationship and it would be the best for all concerned.

What a wonderful way to spur on the Economy and make this country strong from the mom and pop small business to the largest of the Multi-National Conglomerate Corporations? A new revival in all the things that made us so great. Consider if you will that finally bureaucracy was set aside and common sense prevailed in commerce? Think on this.

Franchisors, Franchising Agreements and the Right of Inspection

In order to maintain the quality and consistency of a franchised outlet it becomes necessary to inspect the facilities and franchise operations to make sure they are in compliance with confidential operations manual at all times. Franchisors must therefore have the right of inspection to check the books, audit the company and insure that image is maintained. In our franchise company I inserted a special clause into the franchise agreements, which address this issue, you will find it below;

3.17.2 Right of Inspection

Franchisor has the right, upon a minimum of forty-eight (48) hours notice, to inspect and audit Franchisees books, records, ledgers, journals, bank statements, sales tax reports, income tax returns, cash control systems and other accounting records pertaining to the Franchised Business. If any audit shows that the Franchisee has underpaid any royalties or other amounts due to Franchisor, Franchisee must immediately make payment to Franchisor to correct the underpayment. If the underpayment exceeds two percent (2%) of the total royalties, Promotional Fund contributions or other amounts due in any twelve (12) month period, which includes the date when the underpayment occurred, Franchisee must also pay or reimburse Franchisor for the costs of conducting the audit, in addition to any Late Payment owed to Franchisor.

The franchising company would be well advised to discuss this with a franchised attorney, who is both knowledgeable and experienced. Indeed, without inspections it would be almost impossible to maintain the integrity of the franchise system. I hope you will consider this in 2006.

Many people who understand the franchising model intimately have recognized the value of it to unite the world in a common cause. The Franchising of Nations and the Future of a United World makes sense for so many reasons. Of course critics say it can never work, but that is because they cannot do it.
